The standard commercial due diligence process is broken, and most of the PE market knows it.
Eight weeks. Hundreds of thousands in consulting fees. A slide deck that confirms the investment thesis with enough hedging language that the advisor is never wrong. The diligence team interviews the management team, reads the CIM, analyzes the customer survey data that the company helped design, and produces a carefully worded view of the market opportunity.
Then you close. Then you find the things the diligence didn't surface. Then you wonder what you paid for.
I'm not being unfair. Traditional diligence is designed to answer the wrong question. It answers "is this business as the seller describes it?" instead of "what is actually true about this business's commercial position and what will have to change post-close?"
Those are different questions with radically different answers.
What Traditional Diligence Misses
Sell-side diligence packages are curated by definition. The customer references are selected. The revenue analysis emphasizes the strongest cohorts. The churn data is presented in a way that makes it look like a manageable outlier. The pipeline is shown at its most optimistic interpretation.
None of this is necessarily fraudulent. It's just the natural output of a process where the seller controls the information and the diligence team is working from what they're given.
The gaps are almost always the same:
Customer concentration that looks diversified in the aggregate but is concentrated in practice. The top 10 customers are named in the data room. What's not named is that three of those relationships are held together by the founder's personal relationship, and none of those customers have ever spoken to another executive at the company.
NRR that's technically accurate but operationally misleading. Net revenue retention can look healthy at the portfolio level while individual cohort retention is declining. The most recent cohorts, who represent the company's most recent go-to-market execution, are often the weakest.
A sales team structure that exists on an org chart but doesn't function as described. The CIM says there's a 12-person sales team with two distinct segments. The actual pattern is four strong reps who carry 80% of the quota and eight people who are essentially in extended onboarding.
GTM assumptions that require the founder to remain fully engaged. This is the most common and most dangerous gap. The financial model works if the business runs the way it ran when the founder was closing every deal. It doesn't work once you need the org to execute independently.
The 12-Day Framework
I'm not going to claim this works for every transaction. Large, complex enterprise businesses need longer. But for most mid-market targets in the $10M-$100M revenue range, here's how you compress real commercial insight into 12 days.
Days 1-2: Pattern recognition on the data room.
Before talking to a single human being, I run every document in the data room through a structured analysis process — now significantly AI-assisted — looking for inconsistencies, omissions, and signal in what's absent. What cohort data is missing? Where do the customer survey results not match the financial profile? What's the gap between the stated GTM motion and what the revenue concentration actually implies?
The data room doesn't lie. It just doesn't volunteer information. The gaps are almost always where the real diligence lives.
Days 3-5: Customer conversations, not customer surveys.
I talk directly to customers. Not the reference customers provided by the seller — I get to those too, but I also find my own. LinkedIn, industry associations, former employees who know the customer base. I'm not asking "how do you feel about the product?" I'm asking very specific commercial questions: What would it take for you to double your spend? Have you evaluated alternatives in the last 12 months? What does your renewal conversation look like? Who at the company do you call when there's a problem?
The answers to those questions tell me almost everything I need to know about retention risk, expansion potential, and key-person dependency.
Days 6-8: Team assessment at depth.
Not the management presentation. I want to get into the operational layer — the people who run the actual commercial motions. The sales ops manager who built the CRM process. The customer success lead who handles renewals. The demand gen manager who knows what channels are actually producing.
These people will tell you the truth, usually without realizing they're doing it. "Yeah, we haven't really figured out outbound yet" from the sales ops manager is worth more than a hundred slides about pipeline coverage.
I also do a reference check on the management team that isn't managed by the deal team. Former colleagues, people who reported to them, peers at past companies. I'm looking for specific patterns: how do they operate when things are going badly? How do they treat the people below them? Do they build? Or do they extract?
Days 9-10: AI-assisted synthesis.
Everything gathered in the first eight days goes into a structured synthesis process. I'm looking for the intersections — where the customer feedback, the data room analysis, and the team assessment converge on the same conclusion. Those convergences are the ones I bring to the sponsor with high conviction.
The AI piece here is real and substantive. Pattern-matching across large document sets, identifying inconsistencies in financial data, surfacing industry comp data for context. I'm not using it to generate the narrative. I'm using it to compress the signal-to-noise ratio so I can form cleaner views faster.
Days 11-12: Scenario modeling and deal-maker questions.
At this point, I have a view. Now I stress-test it. What does the model look like if the top three customers don't renew? What's the realistic sales team productivity in 18 months if you lose the two strongest reps? What happens to CAC if the founder exits the commercial conversation?
These aren't hypotheticals. They're likelihoods that the traditional diligence process usually treats as tail risks. In my experience, at least one of them happens in the first 18 months post-close.
The Contrarian Point
The reason operator diligence beats consultant diligence isn't speed. It's that operators are evaluating a business they're going to have to run.
When a consulting firm finishes diligence, they move to the next deal. The report is the deliverable. When an operator does diligence, the report is the roadmap for the first year. That changes everything about what you look for and how hard you push.
A consultant asks "is this business commercially sound?" An operator asks "what will I actually have to fix, and how long will it take?"
Those are different investigations.
What This Produces
A 12-day operator diligence process doesn't produce a 200-slide deck. It produces a 12-page memo with three sections: what's real, what's at risk, and what the value creation thesis actually requires operationally.
That's what the sponsor needs to price the deal and staff the execution. Everything else is decoration.
